The planned acquisition of digital infrastructure firm Telent by M Group requires approval on competition and national security grounds, it has emerged.<\/span><\/p>\n

Both firms have shared clients \u2013 including Transport for London, National Highways and Network Rail \u2013 which means the acquisition is expected to need Competition and Markets Authority approval.<\/span><\/p>\n

Telent was among Highways England\u2019s top 20 contractors in 2023\/24, having been awarded<\/span> \u00a365.3m worth of work by the public body<\/span><\/a>.<\/span><\/p>\n

In a statement yesterday (16 April), M Group chief executive Andrew Findlay described the planned tie-up as a \u201chugely transformative deal\u201d. But it will also require national security and investment clearance in both the UK and Ireland, an M Group spokesperson told <\/span>Construction News<\/span><\/i>.<\/span><\/p>\n

\u201cWe will work closely with the regulatory bodies to complete this process in a timely way,\u201d they said.<\/span><\/p>\n

Telent counts the Ministry of Defence among its clients. For example, it has a place on the Serapis military procurement framework, providing networks for command, control, computers, communication, intelligence, surveillance and reconnaissance (C4ISR).<\/span><\/p>\n

The government invoked the National Security and Investment Act in January when it<\/span> decided to probe the takeover<\/span><\/a> of Lendlease\u2019s UK construction business (now Bovis) by US private equity firm Atlas Holdings. That deal was<\/span> eventually completed last month<\/span><\/a>.<\/span><\/p>\n

Also in March,<\/span> Sky News<\/span><\/i><\/a> reported a \u00a3270m price tag to buy Telent.<\/span><\/p>\n

But M Group, which rebranded from M Group Services earlier this month, declined to comment on this figure when asked by <\/span>CN<\/span><\/i>.<\/span><\/p>\n

If regulators approve the planned transaction, it will be M Group\u2019s 22nd acquisition since 2016. The latest announcement follows<\/span> a deal to acquire Suffolk-based Aran Group<\/span><\/a>, revealed last Thursday.<\/span><\/p>\n

The spokesperson said M Group has \u201cambitious plans to grow including through mergers and acquisitions\u201d.<\/span><\/p>\n

M Group itself was<\/span> acquired by Luxembourg-based private equity firm CVC Capital Partners<\/span><\/a> last June.<\/span><\/p>\n

Its<\/span> most recent accounts<\/span><\/a> for the year to 31 March 2024 showed revenue of \u00a32.2bn and a pre-tax profit of \u00a323.9m.<\/span><\/p>\n

The firm was ranked as the 10th-largest UK contractor by turnover in the<\/span> CN100 2024<\/span><\/a> table.<\/span><\/p>\n

Telent generated a pre-tax profit of \u00a320.2m from turnover of \u00a3461.5m in its most recent accounts to 31 March last year. It employed a monthly average of 2,461 staff.<\/span><\/p>\n

The firm was founded in 2006 when it emerged from the ashes of collapsed electronics giant Marconi.<\/span><\/p>\n

CN <\/span><\/i>was told that Telent chief executive and co-founder Jo Gretton will step down three months after the deal is completed.<\/span><\/p>\n

She will \u201cproactively support with transition planning\u201d, the M Group spokesperson said.<\/span><\/p>\n

Chief financial officer Gillian Bonthron and HR director Jemimah Parnell are also leaving Telent.<\/p>\n","protected":false},"excerpt":{"rendered":"
